Nami Associates Advises on USD 100 Million Solar Power Project in Zahedan

Nami Associates advises the project sponsors on fundraising for the development and construction of a 200 MW solar power project in Zahedan, Iran. The client has been awarded a power purchase agreement by Iran’s Renewable Energy and Energy Efficiency Organization (aka, SATBA) to develop this strategic project in south east Iran, which is expected to cost approximately USD 100 million. Amid Iran’s ongoing electricity supply imbalance, the project is anticipated to play a critical role in addressing the country’s growing energy demand. Our Corporate and Projects teams, led by Behnam Khatami and Sanaz Hosseini-Kolahi, provided legal support, including deal structuring, regulatory advisory, and the drafting and negotiation of the financing agreement. Following a successful closing, the parties are going to explore a potential joint venture arrangement to collaborate on the construction phase. This engagement underscores the strength of Nami Associates, its sectoral knowledge and hands-on experience in delivering sophisticated legal solutions for complex infrastructure and energy projects in Iran. New Deal Announcement

Nami Associates is pleased to have recently advised a leading French biopharmaceutical company listed on Euronext Paris in connection with a complex strategic agreement with a leading Iranian counterparty for the licensing and local manufacturing of specialty pharmaceutical products at facilities located within an Iranian technology park. This transaction stands out against the backdrop of ongoing international sanctions and compliance constraints, which have led many foreign pharmaceutical companies to scale back or cease their operations in Iran. Nevertheless, the demand for high-tech pharmaceutical products (particularly those targeting rare and specialty diseases) remains high in the Iranian market. The agreement marks a significant partnership at the national level, both in terms of scale and the critical nature of the products involved. Leveraging its specialised industry knowledge, deep expertise in commercial contracts, and in-depth understanding of the local legal and regulatory landscape, Nami Associates provided end-to-end support in structuring, drafting, and negotiating the agreement. Our advisory role included comprehensive risk assessment and mitigation strategies to ensure the long-term viability and legal soundness of the arrangement across all relevant dimensions. Thanks to the continued trust of our high-end clients, the firm stands out as a key gateway for complex contractual matters in highly regulated and specialised sectors, including the pharmaceutical industry. For more information, please contact the firm at [email protected].
